Terms of Service

Agent Station, Inc. is a technology company based in Seoul, South Korea. We develop and operate Manshin, an AI companion application designed for personal use. Manshin provides AI-powered conversational and creative assistance to individual users through our mobile application.

To use the Service, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction);
• If you are under 18, have the consent of a parent or legal guardian;
• Create an account with accurate and complete information;
• Maintain the security of your account credentials.

You are responsible for all activity that occurs under your account. You must notify us immediately at manshin@agsn.ai if you suspect unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or restrict access at our sole discretion.

You may use the Service only for lawful purposes and in accordance with these Terms. When using the Service, you agree not to:

• Use the Service in any way that violates applicable laws or regulations;
• Use the Service to generate content that is harmful, abusive, harassing, threatening, or otherwise objectionable;
• Attempt to reverse engineer, decompile, or disassemble any part of the Service;
• Circumvent or attempt to circumvent any safety measures, filters, or restrictions built into the Service;
• Use the Service to develop competing AI products or services;
• Use automated means (bots, scrapers, etc.) to access the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Impersonate any person or entity or misrepresent your affiliation.

We may establish usage limits, rate limits, or other restrictions on the Service at any time.

Your Content. You retain ownership of the content you provide to the Service ("Input"). Subject to these Terms, Agent Station assigns to you all of its right, title, and interest in the output generated by the Service based on your Input ("Output"). You are responsible for your Input and for how you use the Output, including ensuring it does not violate any applicable law or these Terms.

Accuracy. AI-generated Output may not always be accurate, complete, or current. You should not rely on Output as a sole source of truth or as a substitute for professional advice. You are responsible for evaluating and verifying Output before relying on it.

Similarity of Output. Due to the nature of AI, other users may receive similar or identical Output. Outputs that are not unique to you are not considered your exclusive content.

AI Processing. Your Input may be processed by Agent Station's proprietary AI models and/or transmitted to third-party AI service providers (including OpenAI, Google, xAI, and Anthropic) to generate Output. By submitting Input, you consent to this transmission. Please review our Privacy Policy for details on what data is shared and how it is protected.

License to Us. By providing Input, you grant Agent Station a non-exclusive, worldwide, royalty-free license to use your Input as necessary to provide, maintain, and improve the Service, subject to our Privacy Policy.

BOK Credits. The Service may offer in-app credits ("BOK") that can be purchased and used within the application. BOK credits are non-transferable, non-refundable (except as required by applicable law), and have no cash value. Unused BOK credits do not expire unless your account is terminated.

Subscriptions. We may offer subscription plans that provide access to premium features. Subscription terms, pricing, and features will be displayed at the time of purchase.

In-App Purchases. All purchases of BOK credits and subscriptions are processed through the Apple App Store. Your purchase is subject to the App Store's terms and payment policies. Refund requests should be directed to Apple.

Price Changes. We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change.

Cancellation. You may cancel your subscription at any time through the App Store. Cancellation takes effect at the end of the current billing period, and you will continue to have access to premium features until then.

The Service, including all software, algorithms, models, designs, text, graphics, logos, and other materials (excluding your Input and Output), is the property of Agent Station or its licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Copy, modify, or distribute any part of the Service;
• Use the Service's underlying technology, models, or algorithms;
• Remove any copyright, trademark, or other proprietary notices.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

The Service utilizes Agent Station's proprietary AI models as well as third-party artificial intelligence service providers, including OpenAI, Google, xAI, and Anthropic, to process your inputs and generate responses. By using the Service, you acknowledge and consent to the transmission of your inputs to these providers as described in our Privacy Policy.

By You. You may stop using the Service and delete your account at any time by contacting us at manshin@agsn.ai or through the account settings in the application.

By Us. We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms or our Acceptable Use Policy.

Discontinuation. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you in advance of any material changes.

Effect of Termination. Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination will continue to apply.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE OUTPUT GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

You agree to indemnify, defend, and hold harmless Agent Station, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENT STATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY OUTPUT OBTAINED FROM THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

IN NO EVENT SHALL AGENT STATION'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO AGENT STATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Agent Station respects intellectual property rights. If you believe that content available through the Service infringes your copyright, please send a notice to manshin@agsn.ai containing:

• A description of the copyrighted work you believe has been infringed;
• A description of the material you believe is infringing and its location within the Service;
• Your contact information (name, address, email, phone number);
• A statement that you have a good faith belief that the use is not authorized by the copyright owner;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner;
• Your physical or electronic signature.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

Jurisdiction. Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Seoul, Republic of Korea.

Informal Resolution. Before filing any formal legal action, you agree to first contact us at manshin@agsn.ai and attempt to resolve the dispute informally for at least 30 days.

Changes to Terms. We may modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

Entire Agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Agent Station regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Export Controls. You agree to comply with all applicable export control laws and regulations in your use of the Service.

The following terms apply to the extent you access the Service through a mobile application:

App Store Terms. These Terms are between you and Agent Station, not with Apple Inc. Apple has no obligation to provide maintenance or support for the Service.

Third-Party Beneficiary. Apple Inc. is a third-party beneficiary of these Terms solely with respect to the provisions applicable to the Apple App Store, and has the right to enforce such provisions.

License Scope. The license granted to you for the mobile application is limited to a non-transferable license to use the application on an Apple device you own or control, in accordance with the App Store's usage rules.
